Rudey, stranger things have happened. MCK "acquired" HBOC. Smaller companies can acquire larger cap companies (remember Bendix?), but in these days of stock swaps as opposed to cash deals a lot of it comes down to the issue of control of the combined entity. In the old days you could borrow money and buy stock, which obviated the problem. Now you are faced with myriad poison pills, including the ticking time bomb of employee stock options. That means that everything needs to be done on a friendly basis. It makes it more difficult (but not impossible) to acquire a company with close to the market cap of the parent.
