My guess is that the company didnt finance through debt because they want to build interest in the company in the investment community and the only way the investment community will bother to pay attention is if they have their hands on a decent chunk of shares for their own account and for their clients. I think this also answers your question re making the offer available to all shareholders.

I view this offering as very positive. i expect the sahre price to move up nicely in the next 3 months. sprott wasnt buying 200,000 shares at $1 for a 20% gain.

Mike, the stock went up .20 last week. So really, it appears that the warrants were the freebies. PP always are done at a "discount" or on favourable terms as that is a way for those with deep pockets to minimize some risk. There is a difference between you and I who may invest a few grand or more vs. $100K or so. At first I was ticked off on the PP, but it is a way of life for junior companies. WIth the exposure that will come now, our fears of dilution will be overcome hopefully with a much higher share price.
