Mike,

I am new to the board so bare with me. I am an accountant and would be happy to answer your questions as best I can. You seem to have so many so if you could just type up a list it would help.

One thing I know for sure is that I would positively vote NO for the SAR plan. This company already has so many options out there that contribute as an expense to their bottom line and further dilution in their EPS. Increasing the available SARs only adds to this effect because they will only become an additional expense to the company as soon as they are granted.

The executives of this company are already being paid quite handsomely. Why give them even more right now? It just doesn't look to me like they deserve it just yet.
