I think Armstrong (T) proved that there is no law against people talking to each other and making deals on buy outs. If I was Microsoft, I would just call HLTH and say something to them like this:

"Let's not pay more for WebMD than the IPO price. WebMD wants $55/share for their business. How about this: You sell MSFT 51% of HLTH at today's price and HLTH offers to buy WebMD at their asking price of $55/share. It would be good for everybody."

Anyhow, my point is that the people interested in doing a take over can and do talk to each other and make deals to prevent a bidding war. We just witnessed this in the T/USW/MSFT deal. Note that Microsoft was involved in that. This kills any crazy idea of $190+/share price on WebMD.
