This is correct. Read the the history section of the S-1 and do the background checks on the old companies. In a nutshell LOAX- 1) Took the company off the OTC bulletin board and dressed it up (called the ISP a CLEC) and then 2) Found an underwriter without a reputation to tarnish and sold it to an unsuspecting public who didn't do any research before buying the stock. After they did the transactions to take it off the bb, they shopped it to several investment bankers who laughed at the idea. You don't create value by funky stock transactions.
