LONDON, May 20 /PRNewswire/ -- Nortel Networks (NYSE: NT;
Toronto: NT) and X-CEL Communications, Ltd. today announced that Nortel Networks has acquired London-based X-CEL Communications, a privately held leading supplier of Service Level Agreement (SLA) and Network Performance Management for customers requiring carrier-grade network solutions.

X-CEL's products will be integrated into Nortel Networks Integrated Network Management (INM) product line. Nortel Networks INM is the industry's most advanced portfolio of network and service management solutions, allowing Service Providers to manage their services and network resources in a seamless and cost-effective manner.

The acquisition price was paid in cash with a portion of the consideration deferred contingent upon the achievement of certain milestones. The parties have agreed not to disclose the other terms of the transaction.

This acquisition is the result of an extensive search for a "best in class" solution to be integrated into Nortel Networks INM offering. X-CEL Communications has a proven track record with an installed base of over 200 customers worldwide and revenues of US$10 million in 1998. X-CEL has specialized in providing SLA, performance management and planning solutions for customers requiring carrier-grade networks. These products are available from Nortel Networks today, and customers currently using X-CEL solutions will be able to protect their investment and seamlessly integrate their SLA and performance management features with the Nortel Networks INM product portfolio.

Full integration of X-CEL functionality into INM is planned for end of year 1999. This integration will maintain INM's current full multi-vendor and multi-domain capabilities including: carrier-grade IP, ATM, Frame Relay, as well as optical networking technologies such as WDM, SONET and SDH.

From Optivity for the enterprise to INM for carrier-grade requirements, Nortel Networks has created the industry's most comprehensive suite of open, end-to-end network management solutions. X-CEL Communications' offerings enhance INM's already powerful portfolio of Internet Services solutions that enable valuable new Internet-based applications to be delivered by Service Providers in ways that are impossible with today's Internet. SLA and Performance Management capabilities are key enablers for these Service Providers to fully realize the potential revenue-generating capabilities of the next-generation integrated networks being built for applications such as e-commerce and multimedia services.

This acquisition also reflects the strong conviction that to expand beyond the limitations of today's Internet requires open, applications enabling, integrated platforms. Such platforms will allow service providers to create new advanced Internet-based applications. Service Providers are looking for integrated platforms that provide them with open applications enabling capabilities rather than "point solutions" that target specific niche areas with narrow functionality.

WASHINGTON--(BUSINESS WIRE)--May 18, 1999-- Tellium, Inc. announced today that it has successfully
delivered, installed and participated in a senior-level U.S. Government demonstration of the world's first high-performance
fully reconfigurable optical ring network, commissioned by the Defense Advanced Research Projects Agency (DARPA).

Tellium has delivered the latest multiwavelength optical network switching technology available to construct an optical ring
network serving three sites in the Washington, D.C. area including the Defense Information Systems Agency (DISA), the
Defense Intelligence Agency (DIA) as well as DARPA.

Tellium won the $2.5 million award, in competition with major suppliers, under the program called Multiwavelength Optical
Networking Technology (MONET). MONET was established to define and demonstrate how best to achieve
multiwavelength optical networking on a national scale that serves both commercial and government applications.

The demonstration of the high-performance technology took place at the Sheraton National Hotel from April 26 through
April 29 and focused on the West Ring, Tellium's portion of the project. Demonstrations of data and full motion video
including secure High Definition Television (HDTV) were transmitted at high speeds of 2.5 GB/s.

For MONET, Tellium provided three Aurora-32 optical cross connects, six dense wave division multiplexers (DWDM)
and four line wavelength amplifiers.

Tellium's Aurora-32 Intelligent Operating System delivers protection at the optical layer for complete network survivability.
The company's Optical-Unidirectional Path Switched Ring (O-UPSR) protocol delivers protection switching at speeds
faster than 50 milliseconds. Telcordia provided the network management and system integration.

SBC/TRI.
