Why XSNI is on the OTCBB - Last Time:

1) X-Stream filed for listing in summer of 1998 when they were using "in-house counsel"; in their formative period of aggressive growth and change.

2) OTCBB has little interference by SEC - companies can operate like a private concern - many British companies already act like private firms although they are traded publicly. The inhouse counsel saw that and that influenced their decision to file for OTCBB.

3) Key figures came to NYC in October to sign the SEC documentation (where they met the Lehman figures, better late than never) to get them listed

4) They DID NOT see the problem with being OTCBB until they hired Lehman Brothers but AFTER the SEC gave XSTREAM the symbol XSNI as listed on the OTCBB.

5) If a company is listed on an exchange and NO SHARES are TRADED - the company can file with the SEC to get that stock symbol removed - X-STREAM filed and immediately a market maker traded 1600 shares in March 1999.

6) So now the company has to go through the procedures to get their stock moved from the OTCBB to the NASD; XSNI from the OTCBB will be XSNI on the NASD.

There are however several things that have to occur to get this on the NASD to get that IPO going and the one that investors can monitor is that the price per share has to be 5 dollars for a period of 5 days straight; when that occurs you can count on approval for listing in 6 weeks from that date, but another thing you can count on is some IPO rumours and information to run. X-STREAM wants that IPO to be approved by this summer and will get it done on the big boards.

Well, Joseph, I can't figure out why XSNI is on the Bulletin Board either. But here they are. Maybe their "flaky" history under previous names had something to do with it. In any event, I am satisfied at this point that XSNI represents the UK ISP we have been reading about.
One word on UK competition in the free ISP area. It seems every person in Great Britain is opening up an ISP these days. Why? Well, people don't flock to open a business in an area where there is little to no chance for success. My read is everyone wants a piece of something they believe will be the business model of the future. X-Stream will need to be very quick and have some very smart people to survive this competition crush. I am willing to risk my money that they do. Jeff
