The distribution of stock to Old MALL holders within MALL can significantly increase the float (or better freely tradeable shares).

But I try to differentiate MALL "control" vs. Ubid "control".

Consider an officer working with Ubid ("The company"), not Mall. This one will be subject to the 144 ruling as stock of his own company is being distributed to him.

Now consider an officer who works with MALL but not UBID which is another, unaffiliated company per the separation agreement. That one is no Ubid insider, and reg. rules only should apply to those MALL (then Ubid) owners who have significant stakes (as stated).
