Not clear on the exact acquisition terms (it will operate as an indirect subsidiary) but according to the proxy UNPH will issue 35.776 million shares to acquire JDS. As of 4/30/99 UNPH had 40.4 million shares outstanding (basic here, not diluted).

The new symbol will be JDSU.

UNPH's 40.4 million plus the 35.776 million JDS share equivalents to be issued means there will be approximately 76.176 basic shares outstanding post acquisition giving UNPH 53.04% ownership and JDS the balance (46.96%).

Anyone see this differently? Not sure how to work the .50855 number here.

If this holds, this transaction is even more accretive than I originally thought (ie, boosting pro-forma EPS as I originally thought UNPH would issue approximately 40 million shares).
