SW: TLMD News: Telemonde Inc (TLMD) announces conditional agreement to purchase 100% of the outstanding shares of EquiTel Communications Limited

NEW YORK, USA, May 26 /CNW-PRN/ - Symbol TLMD. Telemonde Inc (''Telemonde'') is pleased to announce that it has reached conditional agreement to purchase 100% of the issued and outstanding common shares of EquiTel Communications Limited (''EquiTel'') a UK based telecoms company specializing in telecommunications traffic route management, intelligent network services and advisory services. The consideration will be paid in 3-year promissory notes - the value to be agreed between the parties after the board of Telemonde have received a valuation prepared by its investment bankers. The transaction has an estimated value of approximately $20 million of initial consideration with additional deferred consideration payable on an earn out basis over two years. The deal, which is subject to contract, is anticipated to close on or before June 30, 1999.

EquiTel's clients and partners include: Telecom Italia (TI), MCI Worldcom (WCOM), General Telecommunications Organization (Oman), Unisource Carrier Services, North American Gateway Maltacom, ITS (Spain) and Net Industrial Holdings (South Africa). EquiTel which specializes in emerging markets is particularly active in the Middle East, Africa, the India subcontinent, and Central and Eastern Europe. EquiTel will bring to Telemonde substantial repeat telecommunications revenues (1999 estimated revenues $23.4 millions; 2000 estimated revenues $103.5 millions) through integrating the route management of international traffic and retail customers from intelligent network platforms in alliance with telecoms carriers or PTTs. EquiTel will bring a significant number of client relationships, which can be further expanded by Telemonde's existing infrastructure and network services business.
