From UBID's S-1 The Company's proposed intercompany agreements will provide that the Parent, for a period of nine months after the date of the Distribution ("Distribution Date"), will not compete in the online Internet auction business in substantially the same manner or format as currently conducted by the Company. After that period, the Parent will not be prohibited from competing directly or indirectly with the Company, including by way of acquiring other companies or businesses, which could have a material adverse effect on the Company's business, results of operations and financial condition.
