In the near term, the legacy side of FRO would provide them with cash flow that they desperately need. This was another reason to like the FRO deal. FRO was/is earnings-positive.

Divestiture would not be in their best interest for FRO. In the case of USW, it clear that neither set of stockholders wants any part of the other. Why else have tracking stocks...

I think the logic here is that after separating out the old world part of the business to wither on the vine, Global Crossing would transform, leverage and integrate the remaining assets of U.S.West to create an ultra new world global structure, that with further strategic mergers could position it to become the worlds largest most efficient global service provider.
