Vitesse Semiconductor Corp. to Acquire XaQti Corp.

CAMARILLO, Calif.--(BUSINESS WIRE)--May 24, 1999--Vitesse Semiconductor Corp. (Nasdaq:VTSS) Monday announced that it has agreed to acquire all of the equity interests of XaQti Corp. ("XaQti," or "the company") for $65 million in common stock.

The transaction, which will be accounted for as a pooling of interests, is expected to have no material impact on Vitesse's financial results. The transaction is expected to be completed before the end of July.

Founded in September 1995, XaQti, the Network-on-a-CHIP(tm) company, is a leading-edge supplier of Active-Flow Processors to drive the Internet. The company's unique Active-Flow Processors enable the construction of universal network system platforms for user-driven customization of networks and the rapid deployment of end-to-end IP services such as IP QoS, Ipv6, IP multicast, IP Sec, Mobile IP and Policy management.

XaQti is delivering Gigabit Ethernet chips and system design tools to leading networking OEMs today. XaQti has headquarters in Santa Clara, Calif., and currently has 35 employees.

"The Vitesse-XaQti combination will enable us to provide our customers with a complete Layer 3 Switch solution," said Lou Tomasetta, president and CEO of Vitesse.
