As I try to look at the big picture on this deal I'm thinking about what management's long-term goal here is. I think that, mainly, it's about having the financial muscle to do what they'd like to do with global fiber. I'm sure that's their priority. Secondarily, I think the "G" part of management would like to divest the "L" part of the combined entity once their global fiber plans are fully financed.

In the Ziff-Davis/ZDNet, two tracking stock entity, shareholders are told, "We may dispose of assets of either ZD or ZDNet without your approval . . ." My question is, would the sale of the "L" part of Global Crossing Corp. require a simple majority vote of the BOD? (The BOD will be made up of 10 GBLX, 10 USW and two mutually decided directors.)

Also, it appears to me that the USW DSL assets will come under the "G" domain. If so, does that mean a permanent marriage between both sides, or, would the sale of all "L" assets also take away DSL from "G?" (I don't consider DSL to be of huge importance.)

I would prefer the scenario above if it developed, but I'm not too crazy about being hamstrung for the next year if this is to begin happening. Thanks for any input.
