Because of a number of questions raised recently, we would like to take this opportunity to explain our compensation from MRPS for our services.

Firstly, SmartStockAdvisor.com intends to comply with all present and future SEC regulations and legal and ethical rules regarding our compensation and all our present or future stock transactions, individually and corporately.

Recently, the following link was posted here,(https://www.siliconinvestor.com/readmsg.aspx?msgid=9850930 ) which described a new SEC rule as of April 7, 1999 which circumscribed a company's ability to issue certain types of stock to consultants and investor relations type agents. According to our attorney, this new rule only applies to Section S-8 type shares (normally given for employee stock incentive plans). It does not apply to the type of shares which will be issued to us as compensation.

As stated in our announcement letter and disclaimer, most of the stock paid us are restricted shares which will not be able to be sold before May 17, 2000, the date on which our present contract with Microphonics expires.

As stated in our announcement letter and disclaimer, individually we hold shares in MRPS, acquired as individuals. There are legal and ethical restrictions on our individual ability to buy or sell shares in MRPS since our affiliation with Microphonics. We will continue to abide and comply with these rules and guidelines, as we have since talks began with the company.

SmartStockAdvisor.com wishes to be informative, responsive, and ethical in its relation to Microphonics and its shareholders. We believe in the positive future for "this little company in Tennessee"; but we will not hype, give misleading or false information, nor in any way betray the trust we have earned from Microphonics or its loyal shareholders.

In the coming weeks we will be expanding our public and investor relations efforts on behalf of Microphonics; including, updating their web site, constructing our own web site, broadening our outreach to trade magazines, stock newsletters, brokerages, etc., redoing their investor packages, planning a conference call for 2nd qtr. discussion late summer, advising the company regarding shareholder interests and concerns, as well as writing press releases as news warrants.
