No, it is quite routine and doesn't increase the number of shares, only gives the board of directors the ability to do so. As the proxy points out, they have just about enough shares already authorized to effect one 2:1 split, and this will give them enough extra also to handle an acquisition, if necessary.

The moves to incorporate in Delaware, stagger the election of directors, and eliminate cumulative voting of directors are probably more significant. Maybe that last roller-coaster ride from $45 to $6 induced them to take more steps to insure that they won't get bought up cheaply.
