DDEQ's intent to take GoProfit public is covered in DDEQ's 8-K filing of April 8, 1999 (see sec 5.3.2 on page 7 of the Agreement)...

Essentially it says DDEQ agreed "to assist GoProfit in raising $400,000 working capital and in immediately filing an SB-2 registration document for fund raising, full reporting status and spin-off purposes to be completed and in registration no later than 120 days from the execution date of this agreement."
The agreement date was April 5, 1999.
