Wave Systems & Hauppauge to Integrate Television Tuner Board Technology and New Programming Payment Options

Lee, MA, May 20, 1998 --(OTC BB: WAVX; wave.com today announced the signing of an agreement to include its WaveMeter® onto upcoming versions of Windows'98 compatible
WinTV® television tuner boards from Hauppauge Computer Works, Inc., a subsidiary of Hauppauge Digital, Inc. (NASDAQ: HAUP). Under terms of the agreement, Hauppauge plans to include the WaveMeter on selected models of its popular WinTV boards, for availability before the end of 1998.

Hauppauge is the leader in broadcast receiver products for personal computers. Hauppauge's new line of WinTV tuner boards, designed for use with the new Microsoft operating system, Windows98®, will also support the WebTV® for Windows features built into Microsoft?s Windows98. The boards are used by PC owners to watch TV on their screens, receive Intercast® data broadcasts and utilize a broad
collection of bundled content media from Wave Systems.

"We are excited to have our metering and encryption technology included into Hauppauge's TV tuner card products," said Steven Sprague, president of Wave Systems Corp. "By bundling top quality software titles with Hauppauge's existing products, we now offer the consumer a broad range of choices and capabilities."

Wave's innovative electronic software distribution model provides the PC software community flexible pricing, and the WaveMeter technology included on WinTV tuner boards will allow the decoding of any Wave-enabled content, whether received as a data broadcast via cable or broadcast television, the Internet, CD, DVD, or floppy diskette distribution.
