I thought I would borrow two posts from a Mr. Roger Bass who's explanation of some of Ftel's SEC filings was much more eloquent than I could have dreamed of. My apologies to Roger. The reason I am reposting them has direct bearing on the recent FCM filings for registration of 6,254,000 new shares to be used for employee options. I have posted regarding this issue previously.

Taken from S-8 01/26/99 4,954,000 shares. Proposed maximum offering price $.44.
Taken from the S-8 04/9/99 1,300,000 , Proposed maximum offering price $.44.

If you can afford the time read them, they are worth it.

Mark, you wrote

>>>>>>now, when confronted with bullshit, remember the
facts. look at the past 4 qtrly revenues and
earnings as shown in the 10Qs. dont pay attention
to the scare tactics.<<<<<<<<<

Scare tactics / BS, I don't think so, It is confirmed via a phone conversation with the court of jurisdiction, that a motion for Injunctive Relief was filed on May 13, 1999 against James L. Magruder and John Does numbers 1-10.

I have no idea until I get the documents of the contents therein. However, the above is not scare tactics nor BS, it is fact.

I guess there is some type of confusion.
