JDN: AV with its underwriters will judge market sentiment when they select a date to launch the IPO. They should get SEC approval no later than late October. The IPO would not have been before October-December anyway. The month before earnings seems to be a peak for internet enthusiasm so I think it might be late November early December. That is also a strong time for COMPAQ and it will give time for the development of an ISP and other features, and will allow COMPAQ-AV time to announce how COMPAQ users will become AV users and vice versa. This might be tied in with a new cheap machine, a hand-held or web appliance.

The internet market is becoming more sophisticated as it rewards strong franchises, good asset backing and management. AV will be one of the leading internet IPO's. The market will readily understand that millions of COMPAQ users every year will provide a constant new stream of clients for an AV ISP or the services of its search engine. Even if the market is poor at the time of the IPO AV will get a good inital offer price. Initially, it won't matter very much to AV or COMPAQ if the after market price is 10% or 300% higher. In the long-term, of course, a healthy after market is necessary to raise additional capital or use shares for acquistions.

The AV IPO will be presented as a second chance to get in early with a YAHOO or AOl equivalent.

It wll be during Decemebr, that COMPAQ price wll accelerate to my target of least $55.
