JUPITER, Fla.--(BUSINESS WIRE)--March 12, 1999--A great amount of
interest has resulted from the recent announcement of the forthcoming
merger of Eutro Group Holding Inc. (OTC BB:EUTO) and Ivy
Entertainment.Com Inc.
In an attempt to prevent any misinformation from spreading, Eutro
management presented the following facts to its stockholders and to
the investing public.
Under the merger agreement, the merged company will have the name
"Ivy Entertainment.Com Inc." and a new symbol will be given to the
common stock.
Stockholders of Eutro Group Holding Inc. will exchange their
shares for common stock in the new company.
The present Eutro management and board of directors will submit
their resignations to the company. A new board will be installed and
new management will be named.
When questioned about the prospects for the new company, Eutro's
chairman said: "We feel the merger is in the best interest of both
companies. Ivy will strike out in a bold new direction that will
greatly enhance stockholder value. The attorneys are working
diligently on the details of the merger and they will be made public
shortly. All liabilities will be settled prior to the closing and the
present Eutro management will do everything in its power to effect a
smooth and orderly transition."
