Possible Delisting of Common Stock on The Nasdaq National Market

The Company has received notification from The Nasdaq National Market ("NMS") that the Company does not meet the minimum net tangible assets and "inside bid" price requirements for NMS listed companies. The Company has also been notified that it does not meet the minimum market value of the "public float" for NMS listed companies. The Company has requested and been granted a hearing regarding the proposed delisting of the Company's Common Stock on the Nasdaq National Market and intends to request an exception from the designated criteria to permit continued inclusion of the Company's common stock on the NMS. No assurance can be given that the Company's request for an exception will be granted. The Company's common stock will continue to be traded on the NMS until action by the Nasdaq Review Panel.

If the Company's Common Stock is no longer traded on the NMS, the Company intends to apply for listing its Common Stock on The American Stock Exchange or on a regional exchange, such as the Boston Stock Exchange. If the Company's Common Stock is not approved for listing on The American Stock Exchange or a regional exchange, trading in the Company's Common Stock would be conducted in the over-the-counter market in the "pink sheets" or the electronic bulletin board administered by the National Association of Securities Dealers, Inc. In such an event, the liquidity and market price of the Company's Common Stock may be adversely impacted. As a result, an investor may find it more difficult to obtain accurate stock quotations.
