Ditchdigger, I believe that restricted stock, while not be tradeable until a 144 is filed, are counted by the transfer agent in the total outstanding. The surprise, IMHO, is that on May 7, 99, the date of the last SB-2, the number outstanding was 80 MM shares, and last week it jumped by 15 MM shares, it must be that some of those shares registered in the SB-2 must have issued, probably under conversion (I do not see any other source of shares, but who knows). Look at the following progression in outstanding shares, if I have not erred in writing down these numbers:

Dec 31, 1996 MM 22,060,000
Dec 31, 1997 MM 30,155,000
Nov 10, 1998 MM 57,527,000
Dec 31, 1998 MM 64,972,000
Mar 30, 1999 MM 76,000,000
May 07, 1999 MM 80,065,000
May 27, 1999 MM 95,000,000 (? still need verification)

Or in less than 2.5 years the shares count more than quadrupled.

One should not be surprised the stock has fallen and cannot get back up. You get a 20%-25% rally like Friday, and more stock is coming out to depress the price. Until that stop, and hopefully, Marty will see to it, there is really not much upside potential.
