Harken has today filed another S-3, this one shelf registering 1,121,738 shares on behalf of Lambortine Holdings, Inc., who also acquired their shares in a voluntary conversion of their Net Profits Interests to common stock. They, too, like Sidro, EnCap and Crescent, acquired their NPI in connection with a Development Finance Agreement. Specifically, these shares come from conversion of Lambortine's NPI resulting from their participation in the 12/97 European DFA.

The S-3 can be seen at SEC's Edgar or at any of the various private Edgar distribution websites, including Free Edgar at:

Again, as in the other three S-3's, this filing merely registers the shares for possible future sale. It is not an announcement of an actual or intended sale on behalf of Lambortine.

I believe this is actually the last of the four similar filings to register shares acquired by voluntary conversions of Net Profits Interests to common stock by the participants in the three 10/97-3/98 Development Finance Agreements, as described further in HEC SI post #4399.
