John, Telnet was a foreign corp that owned the Baraka assets at the time of NCDRs entrance into this deal. It's only assets. NCDR bought the Baraka assets as well as controlling interest in Telnet. Your comment: "..issued around 3 M shares related to the Telenet acquisition (1.984 M to a former Telenet affiliate and 1.005 M to a bank) The Bank was owed in excess of $8 million and took the stock of NCDR in exchange for the debt and the sole shareholder of Telnet received the balance of the 3mm shares. The stock and cash that went directly to Baraka was used to retire all debt and liabilities of the US based Baraka sub, which enabled NCDR to purchase the assets and acquire the staff of Baraka, without having to acquire the Corporation. Developing this structure was one of the contributions I made as an investment banking consultant several months ago. If you think there is something wrong or illegal with this structure or the way it is reported then perhaps you should learn a little bit about international investment banking before you voice public assumptions out of ignorance. Or, perhaps buy some stock so you can bring legal action against the Company.
