Hmmm... I'm guessing. If we assume that it's PHG who is buying, because they don't have all the shares they need, then maybe they will pay more than 21 for some shares just to make the count. Since they bought most of their shares much more cheaply, they wouldn't be averaging their cost at or over 21.

I think Dan is right that short covering may account for some of the buying at 21 but they would not have reason to cover at over 21 unless they thought the deal would fall through and the stock go higher.

Dan: it's a toss up whether the PHG deal is keeping the stock price up or holding it down. If the deal were to fall through the price would also be free to go higher. I know the market's bad right now so maybe the price would go down at first, but it might go way higher when the market perks up.
