SAN FRANCISCO, June 1 (Reuters) - The biggest broker on Wall Street and the biggest Internet-only stock seller took steps on Tuesday to put clients' financial assets online, signaling the start of a fierce war to win the electronic wallets of the future.

Brokerage giant Merrill Lynch and Co. Inc. (NYSE:MER - news), after watching from the sidelines as brokers such as E-Trade and Charles Schwab Corp. (NYSE:SCH - news) created millions of new online accounts in recent years, finally said it would give all of its customers low-priced online trading rights starting this year.

Meanwhile, one of Merrill's most innovative challengers, E-Trade Group Inc. (Nasdaq:EGRP - news), said it would acquire the biggest online bank, Telebanc Financial Corp. (Nasdaq:TBFC - news), for $1.8 billion and begin offering traditional banking services online. E-Trade's move raises the competitive bar for those entering the business to have a range of financial services.

''This is just the opening shot in what promises to be a pretty long-fought battle between banks and brokers,'' said Credit Suisse First Boston analyst Bill Burnham.

The Internet-based brokers swiftly have taken over a wide swath of the brokerage world by offering low-priced trading and often-inexpensive financial information on which customers can base their trades. An estimated 7 million new accounts were created over the past two years.

Online trading has become so important that major stock markets have taken the surprising move of setting up evening trading hours for the droves of investors who buy and sell stocks at home over their computers.

Nasdaq and the New York Stock Exchange's moves were unpopular with many brokers, but the exchanges risked giving an opening to new competitors if they didn't offer the expanded service. Computerized trading has boosted the growth of so-called electronic communications networks, or ECNs, that compete with traditional stock exchanges, forcing the stock exchanges to boost trading hours.

The clash to win new business over the Internet also is being played out between traditional brokers and bankers, all of whom are boosting their online presences.

''They're on a collision course,'' said Chris Musto, director of financial services for online consulting firm Gomez Advisors. ''And for brokerages and banks the key battleground is the ownership of customers assets and transactions online.''

Online banking remains a tiny business, with only about 100,000 customers signed up with Internet banks. But analysts expect it to be the next big online growth industry.

E-Trade acquired Telebanc, the biggest of the online banks, as a way to ensure that it stays on the cutting edge of financial services. With Telebanc, it can offer online everything from certificates of deposit to home mortgages.

The online banks are expected to win customers the same way online brokers did -- by offering more for less. Internet brokers, cutting out the stockbrokers, slashed the cost of a trade from over $100 to an average of about $20 to $30 a trade.

''Because of Web economies, it can offer higher rates and lower fees than traditional banks and deliver products any time, anywhere,'' said Zona Research.

Merrill Lynch, which employs 16,000 brokers, has been on the other side of that equation. It resisted the online trading movement and extolled the merits of its highly paid brokerage network, and its top executives warned about the dangers of customer-directed trading. But it finally gave in as more and more investors shifted to the Internet.

''The undeniable fact that there is a segment of the marketplace that wants to access the market through technology and through online investing was indisputable,'' Merrill Chairman David Komansky said.

But the stocks of all of the brokers -- both online and traditional -- fell on Tuesday as investors calculated the cost of looming price wars.

By heightening competition, both the Merrill online trading and the E-Trade banking takeover made investors nervous.

Merrill fell $9 to $75, E-Trade dropped $5.19 to $39.31, Charles Schwab, a discount broker that has the largest number of online trading accounts, dropped $6.30 to $99.50 and Online broker AmeriTrade (Nasdaq:AMTD - news) slid $9.94 to $79.75 and traditional brokerage power Morgan Stanley Dean Witter & Co. (NYSE:MWD - news) lost $4.75 to $91.75.

Adaptec sees 20 pct growth in revenues
SINGAPORE, May 25 (Reuters) - Adaptec Inc., a maker of data input/output devices, is expected to see at least 20 percent growth in revenues for fiscal year 2000, its chief executive officer and president Robert Stephens said on Tuesday.

''We anticipate 20 percent or more growth for the next fiscal year. We should grow at the same rate or better in the NT server segment,'' Stephens told reporters after the opening of Adaptec's new $17 million manufacturing facility in Singapore.

The Milpitas, Calif.-based company reported net income for the fourth quarter at $62 million on revenues of $184 million.

Stephens noted strong demand for Adaptec's core products in the network server and workstation markets.

Adaptec Manufacturing Singapore is Adaptec's only in-house manufacturing site for input/output boards.

''Our Singapore expansion reflects our belief in the continuing rebound of Asian markets and the growing global need for more (input/output) resulting from the proliferation of Internet, collaborative computing and e-business,'' Stephens said.

Adaptec boosts stock buyback program
MILPITAS, Calif., May 25 (Reuters) - Adaptec Inc. said Tuesday its board had approved the repurchase of another $200 million of the company's outstanding common stock.

The maker of data input and output devices said the move was in addition to the $200 million October 1998 stock repurchase program which is nearing completion.

''The board's decision represents continuing confidence in the growth potential of our business,'' said Chief Executive and President Bob Stephens.

Adaptec shares opened up 1-1/2 at 28-3/4.
