- Intel To Acquire Dialogic For $780 Million

Intel has agreed to acquire computer telephony firm Dialogic Corp.
for about $780 million, or $44 per share, in cash. The acquisition is
designed to boost demand for servers based on Intel's
microprocessors and boost its presence in telecommunications,

Dialogic will become a subsidiary of Intel's Enterprise Server Group
and will continue to be led by Howard Bubb, its current president and
CEO. All of Dialogic's employees will receive offers to work at Intel.
The companies said they "don't anticipate any immediate changes to
their respective product lines, and Dialogic intends to deliver
products to customers under existing agreements and to continue its
existing manufacturing relationships."

Intel has plenty of cash to fund the acquisition. The chipmaker held
$10.23 billion worth of cash and short-term investments as of March
27. Dialogic shares surged 10 1/16 to close at 43 7/16 yesterday
after the acquisition was announced. Intel shares declined 3 7/16 to
close at 50 5/8.
