Chapters Inc., Canadian General Capital Limited and Barnes & Noble Inc. have entered into an agreement with a syndicate of underwriters led by Merrill Lynch Canada Inc. and Scotia McLeod Inc. under which the underwriters have agreed to purchase, and sell to the public, one million common shares of Chapters Inc. via a treasury offering and two million common shares via a secondary offering at $32.75 per common share for total proceeds of $98.25-million.
