Probably for the same reason that TBFC sells at less than the proposed 2.1:1 (EGRP to TBFC) ratio: (a) doubts that it will happen, (b) scared of deterioration in Internet related stocks , (c) ignorance?

Or the follow-on question, if I can tender 1.2 shares of USW stock for GBLX in the future, why the disparate pricing between the two stocks?

Very strange, but as others have stated on this thread, maybe it is simply some holders who are selling due to uncertainty. Markets are often irrational, this seems to be one of them (or I'm really missing something).
