Broadcom Corporation Completes Acquisition of Maverick Networks, Alliance Semiconductor Reports Gain on Transfer of $52 Million

SAN JOSE, Calif.--(BUSINESS WIRE)--June 3, 1999--In a press release dated June 1, 1999 Broadcom Corporation (Nasdaq:BRCM), a leading developer of integrated circuits enabling high-speed broadband communications, announced that it completed the acquisition by merger of Maverick Networks on May 31, 1999.

The proposed merger transaction was originally announced by Broadcom Corporation on January 25, 1999 and Alliance Semiconductor on January 27, 1999.

As a result of this merger, Alliance Semiconductor (Nasdaq:ALSC) will report a pretax, non-operating gain of approximately $52 million on its investment in Maverick Networks in the financial results for the first quarter ending July 3, 1999, based on Broadcom's closing stock price of $95 3/4 on May 31, 1999.

In connection with the closing of Maverick Networks, Alliance Semiconductor will receive 538,961 shares of Broadcom's Class B Common Stock. According to Broadcom, shares of Broadcom's Class B Common stock are identical to Class A Common Stock except for certain voting rights, and are automatically converted into Class A Common Stock upon sale.

As reported in Alliances' Fourth Quarter FY 1999 earnings release dated April 27, 1999, the Broadcom shares are subject to certain restrictions, including a restriction pursuant to the pooling-of-interest rules which prevents the company from selling its shares until Broadcom first publicly reports thirty days of Broadcom and Maverick Networks combined operating results.

According to the company's agreement with Broadcom, 10% or 53,896 shares of Broadcom stock will be held in escrow for six months to potentially compensate Broadcom for losses, if any, Broadcom may incur if Maverick breaches terms of the merger agreement, or misrepresents information in the transaction.

Belgrade Accepts Kosovo Peace Plan

BELGRADE (Reuters) - Yugoslavia accepted an international peace plan for Kosovo Thursday, the state news agency Tanjug reported, potentially clearing the way for the end of the conflict with NATO.

A spokesman for EU envoy Martti Ahtisaari said the Finnish president was leaving Belgrade for Cologne to report to a European Union summit on the success of talks which he and Russian envoy Viktor Chernomyrdin held with Yugoslav President Slobodan Milosevic.

''We have had a successful result in the sense that President Ahtisaari has just said that both the Serbian parliament and the government accepted his peace offer,'' spokesman Yrjo Lansipuro told Reuters by telephone from Belgrade.

Tanjug reported that ''Yugoslavia accepts the peace document brought together by the highest representatives of the European Union and Russia...The document confirms sovereignty and territorial integrity of Yugoslavia and a role of the United Nations.'' . . . . . . .

U.S. Cautious On Serb Acceptance Of Peace Deal

WASHINGTON (Reuters) - The United States reacted cautiously Thursday to the Serbian parliament's acceptance of an international peace plan for Kosovo, saying it wanted to see the fine print first.

''We've seen the report,'' said David Leavy, communications director at the White House National Security Council. ''Negotiations are ongoing and we're looking forward to hearing more information.''

Another spokesman for the National Security Council, Mike Hammer, said U.S. officials wanted to hear directly from Finnish President Martti Ahtisaari, the European Kosovo envoy who was to meet in Bonn later Thursday with Deputy Secretary of State Strobe Talbott.

''We'll wait and reserve judgement on developments until we have a full read-out,'' he said.

In Belgrade, Serbia's parliament agreed Thursday to an international security presence in Kosovo under united command, with a ''fundamental'' role for NATO, according to a copy of the plan approved by deputies. . . . . .

To ALL: Look everywhere and leave no stone unturned. . . .

We are looking for rumors, indications, leads, connections or otherwise between PlayCo and AMZN. . . .or any OTHER toy store and AMZN.

It might be coincidence that PlayCo is LATE on opening their website, while AMZN is going to launch their TOY division tomorrow.

I need to know if AMZN has made any indication toward one toy retailer or another. EToys is the OBVIOUS connection, which everyone will be watching. . . but if you recall. . .AMZN does not go the expected route. . . and it tends to prefer the little guy. . .probably because they know that any connection with themselves is nearly guaranteed success.

With Wal-Mart expected to announce they are going online tomorrow. . .by Back-To-School. . . . remember that WMT is the clear leader in toy sales now. . . Could WMT and AMZN be joining forces?? Now that would be news. . . .

But since we are so heavily into PLCO, we need to take some time to look. The MAIN indicator says "no" . . . and that is that there is no insider buying on PLCO today. A deal that big, would be nearly impossible to conceal completely.

So. . . either AMZN has someone ELSE completely in mind. . .

Or WMT and AMZN are going to be a catagory killer. Whoa. . .the thought of it is hard to imagine. . . EVERYONE thinks that they are arch rivals. . .especially with the recent lawsuit.

But if Wal-Mart were to sell Toys via AMZN, it would be bizzare, but it would remove a big portion of the competition. K-Mart would cringe. HMMmmmm????

Well. . . anyway. . . not sure what answer is. . . but lets start looking around and see if we can find any connections. . . .I smell some big opportunity if we can figure it out.

PS> One more thing. . . remember that for AMZN this is still too little too late. . . I don't think it will be going up much more than it is from here. . . but next week, I see it going down below 100 to test that support level again.

What we are looking for is a toy company that is getting UNUSUAL VOLUME today. Alert if anyone spots this.
