sports-related information according to Jupiter Communications, a New
York-based market research firm. The Stockpage's latest profile company,

The Company has just completed a $2.5 million financing and currently is
in negotiations to arrange additional financing to fund future

The Company

SportsPrize Entertainment Inc. is creating the premier interactive
Sports Entertainment site on the Internet. The site will serve as a
Sports Community/Portal and will feature the SportsPrize Tournament, a
game that should appeal to a wide spectrum of sports fans. SportsPrize
will leverage the power of sports entertainment and information by
incorporating unique advertising, marketing and e-commerce opportunities
that will appeal to the sports fans of the world.

The Company believes that home-based entertainment through the World
Wide Web will continue to grow. The SportsPrize web site will entertain,
inform and update it's sports fan members while at the same time offer
sports related merchandise and earn revenue through advertising,
sponsorships and a combination of it's Cyber Retail Mall, Winners Mall,
Clearance Mall and Auction Site.

Participants will be able to view live sporting news feeds, check in on
up-to-date sporting results, professional sporting odds, communicate
with other players and professional athletes in the chat room, review
league rules and even seek professional advice on their particular
sport.

Most of these features are currently available on the Internet.
SportsPrize believes that their unique tournament available to all
members of the web site will set them apart from the competition.
Membership will be free to all users. SportsPrize tournament players can
win prizes, earn incentives and discounts on merchandise available at
Sportsprize.com.

The Tournament

The actual tournament will be a great traffic draw to the Company's
portal web site. The tournament will run on a weekly basis. Members join
by providing SportsPrize with certain background and demographic
information that the Company will use for marketing purposes and to
assist sponsors in assessing the clientele visiting the Company's web
site. Unlike other office sporting pools, this game will not be based on
a simple points spread/odds gaming scenario. Rather, the game will
challenge players in a trivia format.

The member participants playing the game will be given choices to choose
from and will be provided with helpful hints within the site to help
them make an informed decision. Thus, the unsophisticated sports fan
will be given the opportunity to compete with the armchair quarterback
on an even level.

Each participating player will initially receive points to play the
game. Players will be able to earn more points for weekly play by
clicking on advertisement banners and buttons. Depending on the number
of games played by each participant and the number of questions answered
correctly within each game, players will be able to earn additional
points.

Players will be placed into a number of pre-selected groups where they
will rival other players or, players will be able to create their own
individual groups.

The tournament will have result rankings where players can view their
personal standings vs. their competitors. The purpose of all games will
be to compete for and win prizes.

Prizes

There will be weekly, monthly, and annual prizes that will be available
to participants from each group. The prizes will vary from discounts at
SportsPrize Cyber Malls, discounts from sponsors, sponsorship prizes and
cash money.

Sources of Revenue

SportsPrize feels that by providing their signature tournament with
other features such as live sporting news feeds, up to date results,
professional sporting odds, sport chat rooms with interaction that will
include professional athletes, professional interviews and advice,
traffic to the site will grow immediately and significantly. Sponsors
and advertisers will wish to market to this specific demographic group.
As a result, SportsPrize will be able to earn significant advertising
dollars. In addition, members will have the ability to visit 4 distinct
Cyber Malls from which JOCK will earn direct e-commerce revenues.

Cyber Retail Mall

The Cyber Retail Mall will be linked into the SportsPrize portal web
site. It will offer merchandise that will appeal to the demographics of
the sports community. The Mall will be made up of online commerce
companies who are already selling goods over the Internet. The Company
plans to arrange revenue share agreements with these e-commerce
companies for revenues generated from the SportsPrize web site. Members
of the SportsPrize community will be able to receive discounts on all
goods and services available for purchase at this mall.

Auction House

SportsPrize plans to host its own Auction House. Members of the
SportsPrize community will be able to purchase all sorts of sporting
paraphernalia, memorabilia, goods, services, tickets and other
merchandise from other members. The Company plans to earn revenues for
facilitating the transaction.

Clearance Store

SportsPrize plans to host its own clearance store for sports
merchandise. Members will be able to take advantage of significant
savings that will be offered.

Winners Mall

The winners mall will contain the top selling merchandise in each
sporting sector. This merchandise will be available to members of the
tournaments and SportsPrize community.

Marketing and Competition

A significant number of companies, organizations and individuals are
currently offering sports related entertainment on their Internet web
sites such as ESPNet Sports Zone, CBX Sportsline, CNN Sports Illustrated
and The Sports Network. Most of these web sites are targeted at sports
fans, providing information, news, statistics, highlights and various
other forms of information to visitors. Instead of directly competing
with these web sites, SportsPrize will directly market to these
established communities to generate participation in the SportsPrize
tournament. In essence, SportsPrize feels that their sports portal web
site will bring added value to the existing online sports community
without directly competing with existing major online players.

The Company has just recently announced a strategic agreement with
Interactive Marketing Inc. (IMI) a leading interactive marketing
consulting company. As part of the SportsPrize marketing effort, IMI
will help create, plan and implement an integrated business and
marketing strategy for the Company. IMI will assist SportsPrize in
forging new and strategic partnerships, develop innovative advertising,
sponsorships and e-commerce opportunities to maximize revenue and
ultimately obtain a market share in the booming online sports market.

At present, the Company has not located a web site on the Internet that
it believes directly competes with the SportsPrize Web model. However
during the recent NCAA Basketball Tournament, Wall Street Sports offered
a unique web site concept that allowed visitors the opportunity to win
prizes by selecting winners of various games. Like the Company's
proposed web site, the Company believes the primary source of Wall
Street Sports' revenues were derived from advertising and sponsorship
from companies such as Pizza Hut. Based on the success of such web sites
in generating revenues from sponsors and advertisers, the Company
believes that SportsPrize will be capable of generating sufficient
revenues from advertising and sponsorships to achieve profitability.

The Company's research indicates that various sites such as the NHL and
NFL sites do offer merchandise to their guests however they are geared
strictly to the particular sport. SportsPrize plans to offer merchandise
of a number of sports-related activities and special features designed
to enhance visitor interest in the merchandise of advertisers and
sponsors.

Management

The strength and future of SportsPrize will inevitably rest on the
Company's management team. Present management brings with it years of
professional business experience and a tremendous amount of success.
With this in mind, present management is actively seeking to hire
additional senior level management and personnel in the sports marketing
arena. The present management team is as follows:

Jeff Paquin, Interim President
Jeff Paquin, a founder of the company, is a business lawyer who has
several years of experience in developing a variety of Canadian and US
business enterprises. Mr. Paquin will oversee the achievement of the
Company's corporate, finance and administrative objectives, including
such timely matters as SEC filings and reporting requirements.

John Thompson, Vice President Research and Development

Mr. Thompson, creator and game developer, will carry out research and
development. Mr. Thompson spent fourteen years with the British Columbia
Lottery Corporation as an odds maker and sports analyst before joining
the Company

Donald Robert Mackay, Chief Financial Officer

Mr. Mackay will provide the Company with over twenty-five years of
extensive financial experience, mergers and acquisitions, as well as
corporate accounting and administration experience. Mr. Mackay has held
senior financial positions with public companies in the automotive
glass, electronics and gaming industries as well as in a major private
insurance broker.

Skye Cove, Vice President of Technical Operations

Systems design for the Company is lead by Mr. Cove, who is responsible
for the project and software development. Mr. Cove is well versed and
experienced in design/development/testing and management of production
lifecycles.

Paola Paquin, Marketing Manager

Mrs. Paquin, international gaming consultant, has been retained by the
Company to direct and advise management on a variety of gaming related
issues, as well as introduce the Company to additional industry
opportunities and introduce high profile business persons to the
Company's advisory board. Mrs. Paquin is, and has provided marketing and
gaming consulting to a variety of international companies. She is a
licensed gaming consultant in several domestic and international
jurisdictions and was previously the chairperson for the Canadian
Foundation on Compulsive Gambling.

David R. Bissett, Corporate Secretary ( B.Comm, LLB )

Mr. Bissett is a partner of the law firm Scott, Bisett, specializing in
the area of securities law. He represents companies listed on the
various Canadian exchanges as well as companies quoted on the NASDAQ
system. Mr. Bissett is past Chair of the Securities Subsection of the
British Columbia Branch of the Canadian Bar Association and has given
numerous presentations on various securities law matters.

Thanks Art - are you personally concerned about a fallout between AT&T & Liberty which could affect IATV? Are you overly concerned about MSFT having to be a player in order for IATV "to do its thing in a big way" in which Malone or IATV has to give away anything? Thanks.
