Because IDTC will have "control" as defined by GAAP and SEC reporting requirement, NTOP will be fully consolidated into the financial statements of IDTC. The IDTC financial statements will be IDTC + NTOP - Eliminations for transactions between the two - Minority interest share of profits (public shares, CIs).

During the period when the sale of stock occurs, IDTC will show a $50M inflow in cash flow from financing activities and will begin accounting for the share of NTOP not owned as a minority interest contra-equity/liability.

Control is exhibited when:
a. the parent owns greater than 40% of the outstanding shares (met)or
b. the parent exhibits effective control by virtue of board composition (also met). >>

i am wondering if this explains Brainson's estimated 2 cents versus Jonas'10 cents when both replied to one analyst's question pertaining the impact of NTOP's P&L on IDT after the IPO.
