Number of shares outstanding is 11 million not 500,000. Call their transfer agent for more information:

CIBC Mellon
1177 West Hastings Street
Vancouver, BC V6E2K3
(604)688-4330

Their PR firm is:

C. Jones & Co.
(303)470-8783
cjonescompany.com

By the way, the date for the press release you posted is March 23, 1999. So why no reaction to the news until now?

Also the press release says: the funds would allow PAYPD to expand its existing telecommunications base on a global basis with very little dilution to its shareholders.

How could they raise $4 million with little dilution?

Onza I would like to make some clarifications if I may.

Shares Authorized 1,750,000 Outstanding 500,000

This has changed to the follwing. 11.3 fully Diluted which consist of 4M in warrants @ 2.50, 2M in options for a 1 - 1.5 restriction if exercised @ .25, that leaves 5.3M and 2M held by insiders and that leaves a remaining 3M in the free trading float. This was confirmed throught the transfer Agent and the CEO ... Daryl.

with very little dilution to its shareholders

The financing is will be secured with warrants and I believe 1M shares options over $2.50 which will be the basis.

The company intends to seek approval for a name change, from Pay Pop Inc. to Delecom Communications Corp., at the company's next general meeting.

Accurate and a ticker change also. Their website is delcom.net is accurate also.

As far as talking to Jones the IR ... Howard Bronson and company out of NY knows this company very well. This is a very reputable company.

As far as the reverse split. On March 17th it was trading .04 - .07 a 40:1 happen at .05 it was to come out on the 18th it traded at $.07 on March 19 it came out at 1.875 and it traded down from there to .38 and been struggling to keep it down since.

The charting and the hisotrical has gaps in it.

Further the DTC report shows 2.8M in active brokerages. But does not show the illegal short position.

Just remember to do your own DD and NOT TRUST ANYONE ON LINE!!!!
