STMicroelectronics protects itself against hostile takeover

AMSTERDAM, Netherlands — STMicroelectronics has moved to protect itself from a hostile takeover bid.

The annual general meeting of shareholders, held earlier this week in Amsterdam, approved the creation of 180 million preference shares in the company. These shares, which are to be issued only at the request of the company's supervisory board, are a mechanism intended to provide a defense against a hostile take-over bid, the company said.

The meeting also approved the reappointment of Pasquale Pistorio as the company's president and chief executive officer, and a two-for-one stock split effective June 16.
