In contrast, Rule 12h-3 permits a company to suspend its reporting obligation under Section 15(d) if the requirements of the rule are met &lt;i&gt;at any time&lt;/i&gt; during the fiscal year.&lt;/b&gt; Is a Form 15 required to be filed under Rule 12h-3 as a condition of the suspension?&lt;br&gt;&lt;br&gt;&lt;b&gt;Answer: &lt;/b&gt;Because situations exempted by Rule 12h-3 (&lt;i&gt;e.g.&lt;/i&gt;, there are fewer than 300 security holders of record in the middle of a fiscal year) do not meet the literal test of Section 15(d), Rule 12h-3 requires the filing of Form 15 as a condition of the suspension. By contrast, under Rule 15d-6, if an issuer has fewer than 300 security holders of record at the beginning of the fiscal year, a Form 15 should be filed to notify the Commission of such suspension, but the suspension is granted by statute and is not contingent on filing the Form 15. In the absence of egregious and/or repeated violations, or inferences of fraud, however, the SEC is more likely to rely on the stock exchange(s) to police listed companies. Except the Circle 2 isn’t really one camera: it’s four different cameras in one (maybe more, depending on how you set it up). It’s meant to be wired and wireless, mounted to walls and windows, and used basically however you’d like. The only downside is that you’ll have to buy the right parts to transform it into the kind of camera you’re looking for — and there are a lot of different parts.&lt;br&gt;&lt;br&gt;On its own, the Circle 2 is surprisingly small. It’s a little black disc with a 180-degree camera on one side and a smart connector on the back. The 180-degree camera is great, because it allows a single camera to monitor a ridiculously wide area. And the smart connector is what allows the camera to transform into a bunch of different shapes.&lt;br&gt;&lt;br&gt;  &lt;br&gt;&lt;br&gt; &lt;br&gt; &lt;br&gt;The Circle 2 isn’t meant to be used as just a tiny disc — in fact, it can’t be. It’s meant to be paired with a traditional wall mount, a battery mount, a window mount, or a plug mount that goes straight into an outlet. You’ll need at least attach one of them to power the thing&lt;img src='http://img-s-msn-com.akamaized.net/tenant/amp/entityid/BBCBJ3m.img?h=267&amp;amp;w=400&amp;amp;m=6&amp;amp;q=60&amp;amp;o=f&amp;amp;l=f'&gt;&amp;#169; Provided by The VergeAt launch, Logitech will be selling two kits: one includes the camera and a wall mount and sells for $179.99. The other includes the camera and a battery mount and sells for $199.99. As accessories, it’ll also be selling a weatherproof extension cord, a window mount, a wall plug mount, and an extra battery; these range in price from $29.99 to $49.99. For the most part, you can mix and match the different mounts (though in one strange exception, the extra battery requires you to have purchased the camera’s battery kit first). On the plus side, the entire camera is weatherproof, so it can be used outside in any setup. The kits and accessories are supposed to begin shipping next month.&lt;br&gt;&lt;br&gt;Overall, Logitech seems to have devised a smart system that opens up a lot of possibilities for buyers. One of the things Logitech says it saw  &lt;a href='https://www.theverge.com/2015/9/30/9418617/logi-circle-security-camera-logitech' target='_blank'&gt;&lt;u&gt;&lt;span style='color: #0066cc;'&gt;with the original Circle camera&lt;/span&gt;&lt;/u&gt;&lt;/a&gt; was that customers had a lot of different ways they liked to use them, and its goal this time is to make it easier for customers to put the camera wherever they’d like. Logitech hints that more mounts could come over time as customers show interest in different uses of the camera.&lt;br&gt;&lt;br&gt;&lt;img src='http://img-s-msn-com.akamaized.net/tenant/amp/entityid/BBCBvre.img?h=267&amp;amp;w=400&amp;amp;m=6&amp;amp;q=60&amp;amp;o=f&amp;amp;l=f'&gt;&amp;#169; Provided by The VergeThe Circle 2’s shape-shifting is really the biggest new feature — the camera is otherwise about the same as its predecessor. Owners will be able to stream footage through the Logi Circle app and get notifications about activity. Unfortunately, some of the much more useful features require additional payment. You’ll need to subscribe to the $100-per-year, &lt;i&gt;per&lt;/i&gt;&lt;i&gt;-&lt;/i&gt;&lt;i&gt;camera &lt;/i&gt;Circle Safe Premium service in order to get person detection or set activity zones. Otherwise, you’re stuck with much less useful notifications.&lt;br&gt;&lt;br&gt;That kind of fee isn’t unique to Logitech — Nest also charges for person detection — but it makes cameras like these a much bigger investment if you’re using them for security. As a way to monitor your kids or a pet, though, you can probably skip out on extra payments.&lt;br&gt;&lt;br&gt;&lt;img src='http://img-s-msn-com.akamaized.net/tenant/amp/entityid/BBCBzDJ.img?h=267&amp;amp;w=400&amp;amp;m=6&amp;amp;q=60&amp;amp;o=f&amp;amp;l=f'&gt;&amp;#169; Provided by The VergeLogitech has also set up Alexa support for the Circle 2; every camera has a built-in HomeKit chip, so they’ll work with Apple’s system, too. (Although, a caveat: apparently HomeKit doesn’t support battery-powered cameras, so the Circle 2 will only work with HomeKit when plugged into a wired power source.)&lt;br&gt;&lt;br&gt;When the Circle 2 launches next month, it’ll face off against quite a few competitors vying to get inside your home. Netgear’s Arlo line of cameras has indoor and  &lt;a href='https://www.theverge.com/circuitbreaker/2016/10/11/13229520/arlo-pro-netgear-security-camera-announced' target='_blank'&gt;&lt;u&gt;&lt;span style='color: #0066cc;'&gt;outdoor options&lt;/span&gt;&lt;/u&gt;&lt;/a&gt;, and it even recently added an option  &lt;a href='https://www.theverge.com/2017/1/4/14123920/netgear-arlo-baby-monitor-camera-announced' target='_blank'&gt;&lt;u&gt;&lt;span style='color: #0066cc;'&gt;expressly designed for monitoring babies&lt;/span&gt;&lt;/u&gt;&lt;/a&gt;. Canary’s Flex camera  &lt;a href='https://www.theverge.com/circuitbreaker/2016/9/20/12973672/canary-flex-security-camera-announced' target='_blank'&gt;&lt;u&gt;&lt;span style='color: #0066cc;'&gt;takes a similar put-it-anywhere approach&lt;/span&gt;&lt;/u&gt;&lt;/a&gt;, with the ability for a single camera to work plugged or unplugged, indoors or out.&lt;br&gt;&lt;br&gt;On top of those options, Nest  &lt;a href='https://www.theverge.com/2017/5/31/15716830/nest-cam-iq-announced-specs-features-release-date-price' target='_blank'&gt;&lt;u&gt;&lt;span style='color: #0066cc;'&gt;just announced the Cam IQ&lt;/span&gt;&lt;/u&gt;&lt;/a&gt;, which shoots in 4K so that it can punch in on details. Nest even offers some of the smarts that Logitech is charging for — like person detection — for free. Kin to the cybersquatter, trolls are entities that hoard software patents with the sole intention of leveraging them in court for a quick payday. What is troubling about these entities is that they manipulate and abuse the spirit of the patent protection system by masquerading circumvention and other ancillary matters as true innovation. Undoubtedly there is a proper context for patent protection and litigation which protects true innovation, however these trolls produce nothing but headaches, and can unfortunately bring business to a grinding halt. In recent months, an angry storm has swept through the tech world over these gremlins. The vitriol doesn’t surprise me; as a longtime champion of hard work and building value, I share it. But I was surprised when a company that I have supported, MacroSolve, was unexpectedly thrust into the role of standard-bearer for patent defense, and suddenly found itself caught in the crossfire of the patent wars.&lt;br&gt;&lt;br&gt; MacroSolve filed suit earlier this year against big guns like Wal-Mart, Marriott, and Facebook over app-related patent infringement, and the critics immediately cried troll. Yet MacroSolve’s continuing 15-year record as a player in the mobile technology market suggests otherwise, and it highlights a crucial point:&lt;br&gt;&lt;br&gt;&lt;b&gt;Not every company that brings suit for software patent infringement is an exploiter. Some are genuine tech innovators with a real historical and financial investment in their ideas. &lt;/b&gt;&lt;br&gt;&lt;br&gt;&lt;b&gt;To conflate these two situations, as many opponents of software patent litigation do routinely, unfairly maligns companies that deserve to reap the fruits of their labor. &lt;/b&gt;&lt;br&gt;&lt;br&gt;&lt;b&gt;Worse, it comes at a time when the market shift toward mobile devices should finally produce the reward many of these businesses have waited years to harvest.&lt;/b&gt;&lt;br&gt;&lt;br&gt; Right now, some of the biggest companies in the world are only just starting to see the light when it comes to the business power of mobile. According to a recent study by ABI Research, users of enterprise B2E (business-to-employee) and B2C (business to consumer) smartphone and media tablet mobile applications are forecast to grow at a compound annual growth rate of nearly 90% — and exceed 830 million active users by 2016. The rush is on: with business rapidly shifting to mobile platforms, and billions in market share at stake, these apps need to be done yesterday.&lt;br&gt;&lt;br&gt; But what’s lost in the rush is that many of the software breakthroughs that underpin these apps were created years before the boom, when only a handful of companies could see the code’s revolutionary potential. Now, bigger companies are scrambling to catch up, and in their anxiousness they are missing or ignoring the origins of the fundamental components that make their apps possible. The violations can quickly spiral out of control, as companies race to copy each other without realizing that their competitor’s app is itself derived from software created by an original patent holder.
