CrossKeys Systems Corp. [CKEYF] was recently spun off of Newbridge Networks [NN] and is a leading developer of telecommunications network management software.

NN owns 31.4% of outstanding shares and Terence Matthews, NN's CEO, owns 22.5%. Matthews is also Chairman of the Board. John Selwyn is President and CEO.

Besides its close affiliation with Newbridge Networks, the Company has partnerships with Digital Equipment Corporation, and Siemens AG. In fiscal year 1997, the company had revenues of $21.5 million and employed over 270 people. There are 14.8 shares outstanding, 16.25 fully diluted. Six months earnings: (0.07) in Oct. '96 and 0.12 in '97.

From the prospectus in approximate translation:

"The Company's core products are focused on three areas of telecommunications management which have been identified by the ITU as Element, Network and Service management. Element management solutions facilitate the implementation of advanced multi-vendor network devices such as those which support ATM, FR, and IP traffic. Network management solutions allow telecommunicatiions service providers to configure, monitor and report on the performance of the entire network. Service management solutions focus on the relationship between the telecommunications service providers and their customers, facilitating the deployment and management of differentiated services. CrossKeys' products are scaleable and standards-compliant. Certain of its products are also designed to operate on multiple systems management software platforms. . . .

To date CrossKeys' products have been licensed to over 140 end-users in 45 countries. [These] include Bell Atlantic, Bell Canada, Deutsche Telekom, France Telecom, MCI, Optus Vision, Southwestern Bell, and Swiss Telecom."

I'm investing in CKEYF based on its close ties to NN and to the NN-Siemens MainStreetXpress products. Also on telecommunications deregulations globally and the massive changes in the industry that are beginning to be felt both here and abroad.
