AGC Americas Gold Corp. (“AGC”)(OTC BB:AGCFE) (VSE:AGA) (www.agcgold.com) is
pleased to announced that its new division, a wholly owned subsidiary of AGC,
was formed as a Nevada corporation and is called Timebeat.com Inc.
(“Timebeat.Com”).

AGC has registered the domain name, “timebeat.com” for its e-commerce site
which will be selling fully warranted designer brand name watches at
substantial discounts. The new web site URL is www.timebeat.com. The site is
presently under construction with an information page up-and-running for
visitors. The completed site design is not expected for several months at
which point it will go into beta-testing. In the meantime, visitors are
welcome and can monitor the progress.

Timebeat.Com will offer designer names such as Rolex, Ebel, Concord,
Baume&Mercier and many others. In addition, Timebeat.Com will feature a
Vintage-Collectibles Auction-Bid Site called, “The Collectors Corner”. Unlike
other Internet Auction Companies, such as EBAY (Nasdaq:EBAY) and
Yahoo!Auction (Nasdaq:YHOO), Timebeat.Com will inspect and warrantee for
authenticity each item being auctioned.

AGC has begun the process of registering the site with the various web search
engines such as Yahoo (Nasdaq:YHOO), Excite (Nasdaq:XCIT), Lycos
(Nasdaq:LCOS), and others.

In addition to Nevada providing favorable tax benefits to AGC, AGC will enjoy
the benefits provided by the Internet Tax Freedom Act, which was passed into
law in October 1998. Among other benefits this law places a moratorium on
Internet taxes until October 21, 2001 and declares that the Internet should
be a tariff free zone. Both of these benefits will help Timebeat.Com
establish itself both domestically and internationally as the source for high
quality watches.

In the US, regulatory agencies recently changed AGC's stock symbol from AGCFF
to AGCFE since they did not receive AGC's quarterly report which was mailed
in December, 1998. AGC is resending this information and expects the US
symbol to change back to AGCFF sometime in the next 30 days. AGC maintains
information at its corporate web-site (www.agcgold.com). In addition AGC
files Canadian regulatory reports through an electronic filing system called
SEDAR. This information is available at www.sedar.com and through the
Vancouver stock exchange at www.vse.ca.

Timebeat has put together a team of experts from around the world. They
have saved the excitement for the grand opening. Unlike other companies that
have come out having two workhorses and a door for a desk. Timebeat has lined
up the top jewelers, top experts, and top connections in the industry. The
only thing that is missing is American Listing, full listing where people
don't have to get frustrated in finding information about the company.
