New Flash Drives Offer Windows Vista Users a Faster/Cheaper Way to Speed up Their Computing
IRVINE, Calif.--(BUSINESS WIRE)--US Modular (www.usmodular.com), a leading designer and manufacturer of power, personal memory and storage products, announced the launch of RAMBoost(TM) today. Built upon the latest USB flash drive platform, RAMBoost flash drives are optimized for compatibility with the new memory management features of Microsoft's Windows Vista operating system that is anticipated to launch to consumers early this year. With pricing starting at $19 and with memory configurations of 256MB to 4GB, US Modular's RAMBoost USB flash drives begin shipping immediately.
According to Microsoft, "Adding system memory (RAM) is often the best way to improve your PC's performance. More memory means applications can run without needing to access the hard drive."(1) RAM installation, however, typically requires users to know exactly which type and which configuration of RAM to use and also requires users to open their computer - something prohibited by some warranties. With RAMBoost, consumers have an easier alternative to boosting computer speeds - simply plug the RAMBoost flash drive into the external USB port of any Windows Vista-loaded computer. Working in concert with Vista's new Windows ReadyBoost function, system performance and responsiveness are substantially improved by allowing the computer to temporarily shuttle data to the external flash drive. Because data kept in solid-state flash memory (read: no moving parts) can be retrieved more quickly than data kept on hard disks (which require physical movement and therefore slow access speed) consumers can experience marked improvements in performance when using RAMBoost drives in concert with Windows Vista and Windows ReaderBoost. The Company has executed and delivered a letter agreement (the "LA"), dated January 19, 2006, with US Modular, LLC ("USM"). The LA contemplates a business combination (the "Merger") between a yet to be formed subsidiary of the Company and USM, through either a share exchange or a merger. The consummation of the transaction contemplated by the LA is subject, among other things, approval of the members of USM and the Company completing a financing (the "Financing") with gross proceeds of $10 million. The Company and USM have agreed that Sloan Securities is their exclusive investment banker with respect to the Financing. After the transactions contemplated by the LA, the present shareholders of the Company would own approximately 5% of the combined entity, investors in the Financing would own 32% of the combined entity and present members of USM would own approximately 63% of the combined entity. |
