It is not the same as a buy. He exercised options which means he does now hold the common stock. The only reason he would do this is if the options were going to expire or if he wants to convert to common sooner so that the long-term capital gains timer starts ticking now. Then he can sell a year from now (hopefully at a higher price) and only pay long-term capital gains tax.
