further checking out the site for Delaware companies I find this... Beyond the one class of Common Stock a company may also find it beneficial to declare a second optional class of stock called "Preferred". The terms of Preferred Shareholders rights and dividends may be negotiated privately between the directors and the investors, or shareholders. delawareinc.com
