Peter, I have not seen the complaint, but I do not take much comfort from the fact that it may allege irregular attempts to facilitate exercise of shareholders' democratic rights rather than, for example, defamatory attacks on a company of the type that one may find on SI. Readers can check out www.icefi.com for themselves and form an opinion as to whether it is alarming that counsel could conclude there existed a good faith basis for a federal lawsuit, not only against the person who indicated his intent to solicit no more than ten proxies pursuant to SEC rule, but against others who participated in the discourse as well, named in Goldstein's "End of Innocence" post. -- Shoe
