BODY: Commencing August 2, 1999, quotations in the shares of CallNOW.com, Inc. (OTC Bulletin Board: CALN) common stock, previously quoted on the NASD Over-the-Counter Bulletin Board (OTCBB), under the symbol (CALN), will be made only in the National Quotation Bureau's Pink Sheets under the symbol (CALNE). This change is due to the Eligibility Rule adopted by the Securities and Exchange Commission (SEC) in January of this year.
The Company is taking action to bring its public filing current to complete the requirements of the Eligibility Rule, in order to become eligible for trading on the OTCBB or a national stock exchange, however, it cannot predict when and if such action will result in resumed quotation of its common stock on the OTCBB.
On January 4, 1999, the SEC approved amendments to NASD Rules 6530 and 6540 (the Eligibility Rule) to limit quotations on the OTCBB. This ruling provides that, in order for a security to continue being quoted on the OTCBB, the issuer must make periodic flings with the SEC, or with banking or insurance regulators, and be current with those filings.
CallNOW.com, Inc. (CALN) became listed on the OTCBB through a transaction on April 6, 1999 that resulted from a reorganization with American Ostrich Corporation which was a non-reporting OTCBB company whose symbol was "AOC." Based upon the alphabetical phase-in schedule established by the NASD for AOC, current financial information was to have been filed with the SEC comments completed by August 1, 1999. CallNOW.com expects to make a filing of current financial information in the near future. However, it will not meet the date of August 1st set by the SEC for companies whose symbol, as of January 6, 1999, began with the letters "AE to AO". As a result market makers will not be permitted to make quotations of CallNOW.com, Inc. securities on the OTCBB until the financial information has been filed and the SEC has completed its review of such filing.
On June 3, 1999, the SEC granted an exemption from SEC Rule 15c2-11 for securities that were quoted on the OTCBB on or before January 4, 1999 that will no longer be eligible to be quoted on the OTCBB due to the phase-in implementation of the Eligibility Rule, which will permit broker-dealers to publish or submit quotations in other quotation mediums, including the National Quotation Bureau's Pink Sheets, for securities being removed from the OTCBB pursuant to NASD Rule 6530 subject to the certain conditions, including the filing of a Form 211 by an NASD member firm offering to make quotations in the securities, pursuant to Rule 15c2-11 promulgated under the Securities Exchange Act of 1934, as amended. A Form 211 for CallNOW.com, Inc. common stock has been filed by at least two market makers which will make quotations of such securities in the Pink Sheets as of August 2, 1999 (under the symbol CALNE).
