Talk about getting caught with your pants down. I'm really long in ADSK by virtue of the SDSK acquisition (which had swallowed up a previous venture that I was associated with). I hate holding an equity in a company that I can't follow closely. I've been planning to sell, but I'm undecided about what to do with the proceeds, and I hate the idea of writing a check for $15K or so to the IRS. This is what I get for dithering.

ADSK decided before the SDSK deal was completed to switch from a pooling of interests to a purchase accounting. The former method is the most common in software mergers and would have had no effect on the income statement other than to force them to restate prior years for meaningful comparisons. Does anyone know why they changed their minds and elected the purchase method instead?

Hopefully the market will be rational. I don't want to wait umpteen quarters to exit.
