The client/server world is rapidly maturing, yet most corporations have only deployed rather limited client/server applications. As organizations start to built larger client/server applications, they find that almost all of the products that they have been using to build the small client/server applications are not suitable by themselves for the task at hand...

OPEN is one of the pioneers of a 'multi-tier' client/server architecture which is predicated on the idea that by dividing a an application into many different components, you could achieve scalability.

The market for multi-tier development tools, according to consultant "Strategic Focus" (www.strategicfocus.com) was around $70M last year. OPEN accounted for just under half of this market. Their estimate is that the market is in its very early stages and will be growing over 300% in the next two years. When this is combined with the impressive growth in the number of business applications being deployed on the Internet (and Intranet), the business opportunity is quite large.

By merging with Borland, we attain a number of distinct advantages in these markets:

1) They have a brand name which is known globally for quality programming tools. Open Environment is not nearly as known. Our conversion ratio for prospects is quite high. Our problems have typically been getting in the door. We expect that utilizing the Borland brand name will help us.

2) Delphi. This tool that Borland launched 18 months ago has taken the client/server world by storm. They have over 350,000 people developing with it today. This represents a "warm market" for us to sell our products into.

3) Latte. Later in the year, Borland will be unveiling its Java-based GUI tool code named 'Latte'. We believe with the proliferation of Java applets over the Internet, it will be a natural for these programmers to need 'multi-tier' capabilities.
