Well ColleenB I think the more interesting paragraph, and Lordy there are a lot of interesting paragraphs in this Form D, is the Immediate Substantial Dilution, under Risk Factors. It says: Purchasers of the Common Stock will incur immediate substantial dilution in the net tangible book value of the Common Stock acquired by them upon completion of this offering. Dilutiuon is the reduction in the value of the purrchaser's investment measured by the difference bettween the purchase price and the net tangible book value per share after the purchase occurs. geocities.com Looks like they weren't kidding either.
