It means simply that the validity of the shares in question will be reviewed by the law firm. " Thank you for that example! An S-3 is a registration statement which would require a legal opinion that the shares were validly (properly, legally) issued. I understand how that would be appropriate in an S-3. Such a statement in a PPM is incomprehensible to me since the shares are not registered. The identical language does suggest to me that the verbage was simply copied and inserted by whoever did all that typing... PCM GO PABN!!!
