Did you see that explanation on any of the SEC web sites? Since they have issued an audited 12 months statement, which is less than 18 months old I would think that ALYA is is compliance with Rule 15c2-11. I don't believe that you must file a SEC Form10 in order to trade as an OTC-BB stock, but I stand to be corrected if I'm mistaken.
