FCM filed an S-3 to register a lot of shares, which are associated with a private placement they did in August and September.

The registration is for 1.9 M shares of stock, plus another couple of million shares for warrant exercises. Some of the warrants won't be priced (exercise price) until the registration is deemed effective. Some of the warrants might expire worthless, depending on what the stock price is on the date the registration is deemed effective, so it's not possible to compute the exact dilution quite yet.

The seller is Crescent International (I'm not familiar with them). They are allowed to short the stock.

The float, by comparison, is 18.6 M, so this will be about a 10% increase in float, or approximately 20% with option exercises. That's enough to be interesting.
