NET SALES. Net sales for the nine months ended September 30, 1999 were $2,290,201, a 20.9 times increase from $109,506 in the same period in 1998.

On September 29, 1999, the Company entered into preliminary discussions to acquire Walden Structures and Constructions, Inc. ("Walden"), a privately held manufacturer of modular structures primarily for use by commercial enterprises. The Company believes the addition of Walden's operations could add significantly to the Company's annual revenues and allow the Company to become more involved in manufacturing modular structures other than classrooms.
The Company has the exclusive manufacturing and marketing rights for an innovative new product known as the SAFE-T-BAR(R) that the Company's management believes has the potential to become a preferred solution for on-board school bus passenger restraint systems. The general product design, closely approximates the type of lap bar safety restraint systems commonly found on high velocity amusement park rides. The Company plans to produce and currently is marketing the product to school bus manufacturers and operators nationwide, including governmental agencies and school systems.
As of March 3, 1999 the SAFE-T-BAR(R) completed and passed the full complement of testing required under FMVSS 222 & 302 (Federal Motor Vehicle Safety Standards) and is ready for market roll-out. |
